Cancellation Policy

This Cancellation Policy ("Policy") outlines the terms and conditions under which clients or Blue Brain Technologies Pvt Ltd ("Blue Brain," "we," "us," or "our") may cancel an ongoing service engagement. By engaging our services, you acknowledge and agree to the terms set forth in this Policy.

Right to Cancel

Either party — the client or Blue Brain Technologies — may initiate a cancellation of services under the following conditions:

• The client may cancel a project at any point by submitting a written cancellation request via email
• Blue Brain Technologies reserves the right to cancel a project if the client violates agreed terms, fails to make timely payments, or engages in unlawful or abusive conduct
• Cancellations must be communicated formally in writing to info@bluebraintech.com

Cancellation Before Project Commencement

If a cancellation request is made before any work has commenced — including discovery, planning, design, or development — the client may be eligible for a partial refund of the advance payment, after deduction of any administrative or booking costs incurred by Blue Brain Technologies. Please refer to our Refund Policy for complete details.

Cancellation After Project Commencement

If a cancellation is requested after work has begun, the following terms apply:

• All work completed up to the date of cancellation will be billed and must be paid in full
• Any milestone payments already made for completed phases are non-refundable
• Deliverables for completed and paid phases will be handed over to the client upon receipt of full payment for work done
• Incomplete deliverables will not be transferred until outstanding dues are cleared
• Blue Brain Technologies is not liable for any losses incurred by the client due to an incomplete project following cancellation

Cancellation of Ongoing / Retainer Services

For services under a retainer or ongoing monthly arrangement:

• A minimum notice period of 30 days is required for cancellation of any ongoing or retainer-based service
• Services will continue and be billed through the end of the notice period
• No refunds will be issued for the notice period, regardless of service usage
• Any work initiated during the notice period will be completed and billed accordingly

Cancellation by Blue Brain Technologies

We reserve the right to cancel or suspend services under the following circumstances:

• Non-payment or repeated late payments by the client
• Violation of our Terms & Conditions or any applicable laws
• Provision of false, misleading, or fraudulent information by the client
• Circumstances beyond our control, including force majeure events such as natural disasters, pandemics, or government restrictions
• In the event of cancellation by us due to our own operational reasons, clients will be notified in advance and a pro-rata refund for unused prepaid services will be considered

Client Obligations Upon Cancellation

Upon cancellation of services, the client agrees to:

• Settle all outstanding payments for work completed prior to the cancellation date
• Return or destroy any confidential materials shared by Blue Brain Technologies
• Cease use of any work product that has not been fully paid for
• Cooperate during any handover process to ensure smooth transition

Handover of Deliverables

Upon successful cancellation and clearance of all outstanding dues, Blue Brain Technologies will provide the client with all completed deliverables, source files, and project documentation that fall within the paid scope of work. Handover will be completed within 7–10 business days of receiving full payment.

Effect on Third-Party Services

Blue Brain Technologies is not responsible for cancellation of or disruption to any third-party services — including but not limited to hosting providers, domain registrars, payment gateways, or API subscriptions — that were set up as part of the project. Clients are advised to independently manage continuity of such services upon cancellation.

No Liability for Business Losses

Blue Brain Technologies shall not be held liable for any direct, indirect, incidental, or consequential business losses suffered by the client as a result of service cancellation, whether initiated by the client or by Blue Brain Technologies. This includes, but is not limited to, loss of revenue, customers, data, or market opportunity.

Governing Law

This Cancellation Policy is governed by the laws of India. Any disputes arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.

Changes to This Policy

Blue Brain Technologies reserves the right to update or modify this Cancellation Policy at any time without prior notice. Changes will be effective immediately upon posting on our website. Continued use of our services following any such changes constitutes your acceptance of the revised Policy.
